The CCRM LLC ("we," "our," or "us") operates the STAKD platform at www.stakdapp.com (the "Service"). This Privacy Policy explains how we collect, use, disclose, and safeguard your information when you use our Service.

By using the Service, you agree to the collection and use of information in accordance with this policy.

1. Information We Collect

1.1 Information You Provide Directly

We collect information you voluntarily provide when you:

  • Create an account: Name, email address, password
  • Set up your profile: Business name, contact information
  • Use our features: Income records, expense records, contacts, contracts, invoices
  • Subscribe to our service: Payment information (processed securely through Stripe)
  • Enable two-factor authentication: Phone number for SMS verification codes
  • Contact us: Support inquiries, feedback

1.2 Information from Third-Party Platforms (OAuth Connections)

When you choose to connect third-party platforms to aggregate your creator income, we access the following data with your explicit consent:

YouTube (via Google OAuth)

  • Channel analytics and performance metrics
  • Revenue and monetization data
  • Subscriber counts and engagement metrics
  • Scopes requested: yt-analytics.readonly, yt-analytics-monetary.readonly, youtube.readonly

Meta (Facebook & Instagram)

  • Page and profile insights
  • Monetization and earnings data
  • Engagement metrics
  • Permissions requested: instagram_basic, instagram_manage_insights, pages_read_engagement, read_insights

TikTok

  • Account profile and follower data
  • Video performance metrics
  • Engagement analytics
  • Scopes requested: user.info.basic, user.info.stats, video.list

Twitch

  • Channel follower and subscriber data
  • Stream analytics and view counts
  • Channel performance metrics
  • Scopes requested: user:read:email, analytics:read:extensions, channel:read:analytics

Google Calendar

  • Calendar events you choose to sync (title, date/time, description)
  • Events created by STAKD (brand deadlines, tax dates, content schedules)
  • Scopes requested: https://www.googleapis.com/auth/calendar.events
  • Two-way sync: we read and write events to your primary calendar with your explicit consent

Gmail (via Google OAuth)

  • Gmail profile information (email address associated with your Google account)
  • Ability to send emails on your behalf (e.g., invoice delivery) with your explicit consent
  • Scopes requested: https://www.googleapis.com/auth/gmail.send, https://www.googleapis.com/auth/userinfo.email
  • We do not read, scan, or store the contents of your Gmail inbox

Important: We only read your data from these platforms to display it in your STAKD dashboard. For Google Calendar, we also write events you create within the Service. For Gmail, we only send emails you explicitly initiate (such as invoices). We do not read your inbox or email history. We do not share your data with these platforms or any unrelated third parties.

1.3 Location and Geolocation Data (Mileage Tracking)

When you use the Mileage Tracker feature (Professional, Founding Member, and Studio plans), we collect:

  • Real-time GPS location: When you actively start a mileage trip, the app uses your device's location services to collect GPS waypoints (latitude and longitude coordinates) during the tracking session. GPS tracking only occurs while the app is in use and you have explicitly started trip tracking. You must manually start and stop GPS tracking — it is never automatic.
  • Trip origin and destination addresses: Street addresses or place names you enter manually, or determined from GPS start/end waypoints
  • Calculated distances: Mileage between origin and destination (computed via Google Maps Distance Matrix API or from GPS waypoints)
  • Trip purpose: Business description you provide
  • Trip date: Date of the business trip

GPS waypoint data collected during active tracking sessions is stored in your account for mileage deduction records. Start and end point address data is sent to Google Maps APIs for reverse geocoding (converting coordinates to street addresses) and distance calculation. This data is subject to Google's Privacy Policy.

This location data is used solely to calculate IRS-standard mileage deductions for your tax records. We do not track your location in the background or when the mileage tracker is not actively in use.

1.4 Document and Receipt Data (AI Processing)

When you use AI-powered features, your documents and images are processed by third-party AI services:

Contract Scanning & Perfect Pitch (Anthropic Claude)

  • Contract images and PDFs you upload are transmitted to Anthropic's Claude API for text extraction and analysis
  • Creator metrics and audience data you provide are sent to Claude to generate media kit content
  • Anthropic processes this data transiently; they do not train models on your data per their API terms
  • Extracted data (deliverables, payment terms, media kit content) is stored in your account in our Firestore database

Receipt Scanning (Google Cloud Vision)

  • Receipt images you upload or photograph are transmitted to Google Cloud Vision API for OCR text extraction
  • Google processes images transiently to return extracted text; images are not retained by Google for this use
  • Extracted data (vendor, amount, date) is stored in your expense records
  • Original receipt images are stored in Firebase Cloud Storage under your user account

AI Assistant (Anthropic Claude)

  • The AI Assistant can query your account data (contacts, expenses, income, contracts, deliverables) to answer questions about your business
  • It can also create new records (add contacts, record expenses, record income) with your explicit confirmation
  • Your conversation messages and relevant account data are transmitted to Anthropic's Claude API for processing
  • Anthropic processes this data transiently; they do not train models on your data per their API terms
  • Available on Professional, Founding Member, and Studio plans

Note on AI Processing: Do not upload documents containing sensitive personal information (Social Security Numbers, full financial account numbers) beyond what is necessary. Contracts and receipts typically do not contain such information, but please review documents before uploading.

1.5 Contact Discovery Data (Hunter.io)

When you use the Brand Research feature to discover or verify brand contact emails (Professional, Founding Member, and Studio plans):

  • Domain searches: The company domain you search is transmitted to Hunter.io to retrieve publicly available professional email addresses
  • Email verification: Email addresses you verify are transmitted to Hunter.io to confirm deliverability
  • Results stored: Discovered emails and verification scores are saved to your CRM contacts
  • Hunter.io only surfaces publicly available professional contact information; we do not scrape or collect personal email addresses

Hunter.io's use of data is governed by their Privacy Policy.

1.6 Campaign Performance Data (CampaignValue™)

When you use the Campaign EMV feature within PricePoint™ (Professional, Founding Member, and Studio plans), we collect and process:

  • Campaign details: Campaign names, hashtags, and date ranges you define
  • Content performance data: When you scan a campaign, our Cloud Functions retrieve recent content from your connected platforms (YouTube, Instagram, Facebook, TikTok, Twitch) and extract titles, captions, view counts, likes, comments, and shares
  • Hashtag matching: Content is matched against your campaign hashtags to identify relevant posts
  • Earned Media Value (EMV): We calculate a dollar value based on industry-standard advertising-equivalent rates applied to your content's performance metrics
  • Stored results: Matched content details, per-platform breakdowns, and aggregated EMV totals are stored in your account

Campaign scans use the same OAuth tokens and platform APIs described in Section 1.2. No additional platform permissions are required beyond those already granted for CreatorSync™.

1.7 Financial Account Information (Bank Connections)

When you choose to connect your bank accounts to automatically sync income and expenses, we use Plaid Technologies, Inc. ("Plaid"), a trusted third-party service provider, to securely connect to your financial institutions.

What data we access through Plaid:

  • Account information: Bank name, account type, account balance
  • Transaction history: Transaction dates, amounts, descriptions, merchant names, and categories
  • Account holder information: Name associated with the account

What we DO NOT access:

  • Your online banking username or password (Plaid uses bank-level encryption and does not share these with us)
  • Your Social Security Number or government-issued ID
  • Sensitive personal information beyond what's necessary for transaction tracking

How we use this financial data:

  • Automatically import and categorize business income and expenses
  • Provide real-time financial insights and profit/loss calculations
  • Generate tax-ready expense reports
  • Identify recurring transactions and payment patterns
  • Match bank transactions to uploaded receipts

Your control over bank connections:

  • You can disconnect your bank account at any time through your account settings
  • Disconnecting will stop all future transaction syncing
  • Historical transaction data will be retained for tax compliance unless you request deletion
  • You can choose which transactions to import and categorize

How Plaid protects your data:

Plaid uses bank-level encryption and security protocols. Your login credentials are never shared with STAKD or The CCRM LLC. Plaid is trusted by thousands of financial institutions and applications. For more information about how Plaid handles your data, please see Plaid's End User Privacy Policy.

Data retention for financial information:

We retain transaction data for seven (7) years to comply with IRS record-keeping requirements for business tax purposes. You may export your financial data at any time in CSV format.

1.8 Device Contacts

On mobile devices, the app can access your device contacts with your explicit permission:

  • Contact data imported: Names, email addresses, phone numbers, and company names may be imported into your CRM when you choose to use the contact import feature
  • Storage: Imported contact data is stored in your Firestore account and is not shared with any third party
  • User-initiated: Contact import is entirely optional and user-initiated — we never automatically access or sync your device contacts
  • Revoking access: You can revoke contacts access at any time through your device settings (Settings > Privacy > Contacts on iOS, or Settings > Apps > STAKD > Permissions on Android)

1.9 Biometric Authentication

The app supports Face ID and Touch ID for secure sign-in on supported devices:

  • On-device processing: Biometric data (facial recognition, fingerprint data) is processed entirely on your device using the operating system's secure enclave
  • No server transmission: STAKD never receives, transmits, or stores biometric data on its servers
  • Credential storage: Authentication credentials are stored securely in the device keychain
  • User control: You can enable or disable biometric login at any time in Account Settings

1.10 Camera and Photo Library Access

The app requests access to your device camera and photo library for the following purposes:

  • Receipt scanning: The app requests camera access to photograph receipts for OCR scanning via Google Cloud Vision
  • Contract scanning: The app requests camera access to photograph contracts for AI-powered text extraction via Anthropic Claude
  • Photo library: The app requests photo library access to select existing images for upload (receipts, contracts, or profile photos)
  • Image storage: Captured or selected images may be uploaded to Firebase Cloud Storage for processing and are stored under your user account
  • Revoking access: You can revoke camera and photo library access at any time through your device settings

1.11 Information Collected Automatically

When you access our Service, we automatically collect:

  • Device information: Browser type, operating system, device identifiers
  • Usage data: Pages visited, features used, time spent on the Service
  • Log data: IP address, access times, referring URLs
  • Cookies and similar technologies: Session management, preferences, analytics
  • Fraud prevention (reCAPTCHA v3): We use Google reCAPTCHA v3 to verify that requests to the Service originate from our app and not from automated bots or abuse scripts. reCAPTCHA collects hardware and software information (such as device and application data) and sends it to Google for analysis. This data is used for providing and improving reCAPTCHA and for general security purposes. It is governed by Google's Privacy Policy and Terms of Service.

These providers are contractually obligated to protect your data and may only use it to provide services to us.

3.3 Legal Requirements

We may disclose your information if required to do so by law or in response to valid requests by public authorities (e.g., court order, subpoena).

3.4 Business Transfers

In the event of a merger, acquisition, or sale of assets, your information may be transferred. We will notify you before your data becomes subject to a different privacy policy.

4. Data Storage and Security

4.1 Where We Store Your Data

Your data is stored on Firebase/Google Cloud infrastructure located in the United States. By using the Service, you consent to this transfer and storage.

4.2 Security Measures

We implement industry-standard security measures including:

  • Encryption in transit (TLS/SSL) and at rest
  • Secure authentication with optional two-factor authentication (2FA)
  • Regular security audits and vulnerability assessments
  • Role-based access controls
  • Firestore security rules ensuring users can only access their own data

4.3 Security Limitations

No method of transmission over the Internet is 100% secure. While we strive to protect your data, we cannot guarantee absolute security.

5. Data Retention

We retain your data for as long as your account is active or as needed to provide the Service:

Upon account deletion, we will delete or anonymize your data within 30 days, except where retention is required by law.

6. Your Rights

6.1 All Users

You have the right to:

  • Access: Request a copy of your personal data
  • Correction: Update or correct inaccurate data
  • Deletion: Request deletion of your account and data. You can delete your account directly within the app by navigating to Account Settings > Profile > Delete Account. You may also request deletion by contacting us at the email below.
  • Export: Download your data in a portable format (CSV export)
  • Disconnect: Remove connected third-party platforms at any time
  • Opt-out: Unsubscribe from marketing communications

6.2 European Economic Area (EEA) Residents - GDPR Rights

If you are in the EEA, you have additional rights under the General Data Protection Regulation (GDPR):

  • Right to restrict processing: Limit how we use your data
  • Right to object: Object to processing based on legitimate interests
  • Right to data portability: Receive your data in a structured, machine-readable format
  • Right to withdraw consent: Withdraw consent at any time for consent-based processing
  • Right to lodge a complaint: File a complaint with your local data protection authority

9. Children's Privacy

The Service is not intended for individuals under 18 years of age. We do not knowingly collect personal information from children under 18. If we become aware that we have collected personal information from a child under 18, we will take steps to delete such information.

10. Geographic Availability and Data Storage

The Service is currently available to users located in the United States only. Your data is stored on Firebase/Google Cloud infrastructure located in the United States.

If we expand the Service to additional countries in the future, this section will be updated with applicable international data transfer provisions.

11. Changes to This Privacy Policy

We review this Privacy Policy quarterly and update it as needed to ensure compliance with evolving privacy laws and regulations. We may update this Privacy Policy from time to time. We will notify you of material changes by:

  • Posting the updated policy on this page
  • Updating the "Last Updated" date
  • Sending an email notification for significant changes

Your continued use of the Service after changes constitutes acceptance of the updated policy.

Welcome to STAKD. These Terms of Service ("Terms") govern your access to and use of the STAKD platform at www.stakdapp.com (the "Service"), operated by The CCRM LLC ("we," "our," or "us").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Acceptance of Terms

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

STAKD provides a business management platform designed for content creators, including:

  • Income Tracking: Aggregate and track income from multiple platforms (YouTube, Meta, TikTok, Twitch, and manual entries); bank account connectivity via Plaid for automatic transaction sync
  • Expense Management: Track business expenses with AI-powered receipt scanning (Google Cloud Vision), automatic categorization, and mileage tracking (Google Maps Distance Matrix API)
  • Contact Relationship Management (CRM): Manage brand partnerships and professional contacts; brand contact discovery via Hunter.io
  • Contract Management: Store, organize, and AI-scan contracts and agreements (Anthropic Claude)
  • Invoicing: Create and send professional invoices; W-9 management for contractor payments
  • Analytics Dashboard: View business performance metrics, profit & loss statements, and revenue insights
  • Tax Preparation Tools (TaxCommand™): Quarterly estimated tax calculations, 1099 preparation assistance, mileage deduction reports, and P&L summaries
  • Revenue Forecasting: Cash flow predictions and income trend analysis
  • CreatorSync™: Automated revenue sync from connected creator platforms (YouTube, Meta, TikTok, Twitch)
  • Brand Outreach Central™: Brand research, contact discovery, and outreach management for sponsorship pipeline
  • Perfect Pitch™: AI-powered media kit builder for brand partnership proposals (Anthropic Claude)

  • Calendar Integration: Two-way Google Calendar sync for brand deadlines, tax dates, and content schedules
  • Gmail Integration: Send invoices and notifications directly from your connected Gmail account
  • AI Assistant: Conversational AI assistant that can query and manage your account data — add contacts, record income and expenses, check deliverable status, and answer questions about your business (Anthropic Claude)

3. Account Registration and Eligibility

3.1 Eligibility

To use the Service, you must:

  • Be located in and a resident of the United States
  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable laws

Geographic Availability: The Service is currently available to users located in the United States only. By creating an account, you represent and warrant that you are a U.S. resident. We reserve the right to terminate accounts that do not meet this requirement. Features such as bank connectivity (Plaid), tax tools (TaxCommand™), and mileage tracking are designed for U.S. financial institutions, IRS tax standards, and U.S.-based calculations. We may expand availability to additional countries in the future.

3.2 Account Requirements

When creating an account, you agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach

3.3 Account Security

You are responsible for safeguarding your password and any activities under your account. We recommend enabling two-factor authentication (2FA) for enhanced security.

4. Subscription Plans and Payment

4.1 Subscription Tiers

4.2 Free Trial

New users receive a 14-day free trial of Professional features. At the end of the trial, you may choose to subscribe or your account will be downgraded to the Starter (free) tier. Any public media kit links created during the trial will remain active for 90 days after the trial ends (see Section 4.4).

4.3 Billing

  • Payment Processing: All payments are processed securely through Stripe
  • Billing Cycle: Subscriptions are billed monthly on the anniversary of your subscription start date
  • Automatic Renewal: Subscriptions automatically renew unless cancelled
  • Price Changes: We will provide 30 days' notice of any price changes

4.4 Cancellation

  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of your current billing period
  • You will retain access to paid features until the end of your billing period
  • No refunds are provided for partial months or unused time
  • Media Kit Links: Public media kit links generated through Perfect Pitch™ will remain active for 90 days following the end of your 14-day free trial or the cancellation of a paid subscription. After this 90-day grace period, media kit links will be deactivated. Re-subscribing to a Professional or higher plan will immediately restore all media kit links.

4.5 Refund Policy

All subscription fees are non-refundable. By subscribing to any paid plan, you acknowledge and agree that:

  • No refunds or credits will be issued for partial billing periods, unused time, or downgraded plans
  • If you cancel your subscription, you will retain access to paid features until the end of your current billing period, but no pro-rated refund will be provided
  • Upgrading or downgrading your plan does not entitle you to a refund for any prior billing period
  • Fees paid for annual subscriptions, including the Founding Member plan, are non-refundable regardless of when cancellation occurs within the billing cycle
  • We reserve the right to issue refunds or credits at our sole discretion on a case-by-case basis, but are under no obligation to do so

4.6 Failed Payments

If a payment fails, we will attempt to charge your payment method again. After multiple failed attempts, your account may be downgraded or suspended until payment is resolved.

4.7 Founding Member Plan

The Founding Member plan is a limited-availability subscription tier offered during STAKD's initial launch period, subject to the following terms:

  • Availability: Limited to the first 100 subscribers. Once all spots are claimed, the Founding Member plan will no longer be available for new subscriptions.
  • Pricing: $399 per year, billed annually. This rate is locked for the lifetime of your subscription as long as it remains active and in good standing.
  • Features: Includes all current and future Professional-tier features for the duration of your subscription.
  • Automatic Renewal: Your Founding Member subscription will automatically renew each year at $399 unless cancelled.
  • Cancellation: You may cancel at any time. However, cancellation permanently forfeits your locked Founding Member pricing. If you wish to resubscribe after cancellation, you will need to select from currently available plans at then-current pricing.
  • Non-Transferable: Founding Member subscriptions are tied to your account and cannot be transferred to another user or account.
  • No Trial Period: The Founding Member plan does not include a free trial. Billing begins immediately upon subscription.

4.8 AI-Powered Features

STAKD provides AI-powered features including a Help Chatbot ("STAKD Help") and an AI Task Assistant ("STAKD Assistant"), subject to the following terms:

  • Availability: STAKD Help is available on all plans (50 requests/day). STAKD Assistant is available on Professional, Founding Member, and Studio plans only (50 requests/day).
  • Daily Usage Limits: AI features are subject to daily usage limits based on your subscription tier:
    • All plans: Help Chat — 50 requests/day
    • Professional, Founding Member & Studio: AI Assistant — 50 requests/day
    • Starter & Plus: AI Assistant — not available
  • AI-Generated Content: Responses provided by AI features are generated by third-party AI models and may not always be accurate. You are responsible for verifying any information or actions suggested by AI features before relying on them.
  • Data Access: The AI Assistant can access and modify your account data (contacts, expenses, income) on your behalf. Write operations (adding contacts, recording expenses or income) require your explicit confirmation before execution.
  • Support Escalation: Help conversations may be automatically escalated to our support team via email after three AI responses if your issue is not resolved.
  • No Guarantees: AI features are provided "as is." We do not guarantee the accuracy, completeness, or reliability of AI-generated responses. We reserve the right to modify usage limits, available AI models, or feature availability at any time.

5. User Responsibilities and Acceptable Use

5.1 You Agree To:

  • Use the Service only for lawful purposes and in accordance with these Terms
  • Maintain accurate and truthful business information
  • Comply with all applicable laws and regulations
  • Respect the intellectual property rights of others
  • Keep your account credentials confidential

5.2 You Agree NOT To:

  • Violate any applicable local, state, national, or international laws
  • Upload, transmit, or distribute any malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use the Service to spam, harass, or harm others
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated scripts, bots, or scrapers without authorization
  • Misrepresent your identity or affiliation
  • Use the Service for any illegal, fraudulent, or deceptive purposes

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including all content, features, functionality, software, designs, and trademarks (including "STAKD," "CreatorSync™," "Brand Outreach Central™," "TaxCommand™," "Perfect Pitch™," "PricePoint™," and "CampaignValue™"), is owned by The CCRM LLC and protected by copyright, trademark, patent, and other intellectual property laws.

Patent Notice: The STAKD platform incorporates proprietary technology that is the subject of a pending United States patent application. This includes, but is not limited to, systems and methods for multi-platform creator analytics normalization, profile-scoped OAuth credential management, AI-assisted contract analysis, dynamic pricing computation, campaign earned-media-value calculation, and cross-platform revenue forecasting. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

6.2 Your Content and Data

You retain all ownership rights to the data and content you upload to the Service ("Your Content"). By using the Service, you grant us a limited license to:

  • Store, process, and display Your Content to provide the Service
  • Create backups of Your Content
  • Access Your Content as necessary for support and maintenance

This license terminates when you delete Your Content or your account.

7. Third-Party Platform Integrations

7.1 OAuth Connections (Creator Platforms)

The Service integrates with third-party creator platforms including YouTube, Meta (Facebook/Instagram), TikTok, and Twitch via OAuth. When you connect these platforms:

  • You authorize us to access your data from these platforms as described in our Privacy Policy
  • Your use of third-party platforms is governed by their respective terms of service
  • We are not responsible for the availability, accuracy, or functionality of third-party platforms
  • You may disconnect any third-party platform at any time through your account settings

7.2 Financial Service Integrations

The Service integrates with the following financial service providers:

  • Plaid Technologies, Inc.: Provides secure bank account connectivity for automatic transaction syncing. Your bank credentials are never shared with STAKD or The CCRM LLC. See Plaid's End User Privacy Policy.
  • Stripe: Processes subscription payments securely. We do not store your full credit card numbers. See Stripe's Privacy Policy.

7.3 AI and Data Processing Integrations

The Service uses the following AI and data processing services:

  • Anthropic Claude API: Powers contract scanning, Perfect Pitch™ media kit generation, and the AI Assistant. Your data is processed transiently and is not used to train AI models. See Anthropic's Privacy Policy.
  • Google Cloud Vision API: Provides OCR text extraction for receipt scanning. Images are processed transiently and not retained by Google.
  • Hunter.io: Enables brand contact discovery and email verification in Brand Outreach Central™. Only publicly available professional contact information is surfaced. See Hunter.io's Privacy Policy.

7.4 Google Platform Integrations

The Service uses the following Google platform services:

  • Google Calendar API: Provides two-way calendar sync for brand deadlines, tax dates, and content schedules. We read and write calendar events with your explicit consent.
  • Gmail API: Enables sending invoices and notifications from your connected Gmail account. We only send emails you explicitly initiate within the Service. We do not read, scan, or store the contents of your Gmail inbox.
  • Google reCAPTCHA v3: Used via Firebase App Check to verify that requests originate from our app and prevent automated abuse. reCAPTCHA collects device and browser signals for fraud analysis, governed by Google's Privacy Policy and Terms of Service.
  • Google Maps Distance Matrix API: Calculates mileage distances for the Mileage Tracker feature. Trip addresses are transmitted transiently for distance computation only.

By using integrations, you acknowledge that you have read and agree to the applicable third-party terms:

You retain all rights to Your Content and data. We do not claim ownership of any data you upload to the Service.

By using the Service, you grant us permission to:

  • Store and process your data to provide the Service
  • Use aggregated, anonymized data for analytics and service improvements
  • Access your data as necessary for customer support

8.3 Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Service Availability and Modifications

9.1 Availability

We strive to provide reliable, uninterrupted service but do not guarantee:

  • Continuous, uninterrupted access to the Service
  • That the Service will be error-free or secure
  • That defects will be corrected

9.2 Modifications

We reserve the right to:

  • Modify, update, or discontinue features of the Service
  • Change pricing with 30 days' notice
  • Suspend the Service for maintenance with reasonable notice when possible

9.3 Scheduled Maintenance

We will endeavor to provide advance notice of scheduled maintenance that may affect Service availability.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF CONTENT

WE DO NOT WARRANT THAT:

  • The Service will meet your requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • Results obtained from the Service will be accurate or reliable
  • Any errors will be corrected

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREATOR CRM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Business interruption
  • Loss of goodwill
  • Cost of substitute services

11.2 Cap on Liability

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • The amount you paid us in the 12 months preceding the claim, OR
  • One hundred dollars ($100)

11.3 Basis of the Bargain

YOU ACKNOWLEDGE THAT THESE LIMITATIONS OF LIABILITY ARE AN ESSENTIAL ELEMENT OF THE AGREEMENT BETWEEN YOU AND CREATOR CRM, AND THAT THE SERVICE WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.

12. Indemnification

You agree to indemnify, defend, and hold harmless The CCRM LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Content uploaded to the Service

13. Termination

13.1 Termination by You

You may terminate your account at any time by:

  • Cancelling your subscription through account settings
  • Contacting us at support@stakdapp.com

13.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • Breach these Terms of Service
  • Fail to pay subscription fees after notice
  • Engage in fraudulent, illegal, or harmful activity
  • Abuse or harass our staff or other users

13.3 Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your data after 30 days
  • You may request a data export within 30 days of termination
  • Provisions that by their nature should survive will survive (including Sections 6, 10, 11, 12, 14, 15, 18, 19, and 20)

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at legal@stakdapp.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

14.2 Binding Arbitration

If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

  • Location: Arbitration shall take place in Cuyahoga County, Ohio, or remotely at your election
  • Arbitrator: One neutral arbitrator selected in accordance with AAA rules
  • Costs: Each party bears its own costs; arbitration fees split equally
  • Award: The arbitrator's decision is final and binding

14.3 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14.4 Exceptions

This arbitration agreement does not apply to:

  • Claims for injunctive relief to prevent intellectual property infringement
  • Small claims court actions (if eligible)

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions.

Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Cuyahoga County, Ohio, and you consent to the personal jurisdiction of such courts.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and The CCRM LLC regarding the Service.

16.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

16.5 Notices

We may provide notices to you via email, in-app notification, or posting on the Service. You may provide notices to us at legal@stakdapp.com.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last Updated" date
  • Sending an email notification for significant changes

Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.

18. AI-Powered Features Disclaimer

18.1 Nature of AI Outputs

The Service includes AI-powered and algorithmically calculated features such as contract scanning, Perfect Pitch™ media kit generation, receipt OCR scanning, and CampaignValue™ Earned Media Value (EMV) calculations. You acknowledge and agree that:

  • AI-generated outputs (including contract summaries, extracted data, and media kit content) are provided for informational and convenience purposes only
  • AI outputs may contain errors, inaccuracies, or omissions and should not be relied upon as the sole basis for business or legal decisions
  • You are responsible for reviewing and verifying all AI-generated content before use
  • AI-extracted contract terms do not constitute legal advice and should be verified against the original contract documents
  • CampaignValue™ EMV figures are estimates based on industry-standard advertising-equivalent rates and should not be treated as guaranteed valuations or binding price quotes

18.2 No Guarantee of Accuracy

Important: We do not guarantee the accuracy, completeness, or reliability of any AI-generated content. The CCRM LLC shall not be liable for any losses, damages, or claims arising from reliance on AI-generated outputs.

18.3 Third-Party AI Providers

AI features are powered by third-party providers (Anthropic Claude API and Google Cloud Vision) whose services are subject to their own terms and limitations. These providers process your data transiently and do not use it for model training under their current API terms.

19. Tax and Financial Disclaimer

CREATOR CRM IS NOT A TAX, LEGAL, OR FINANCIAL ADVISORY SERVICE.

The tax preparation tools, estimated tax calculations, 1099 preparation assistance, mileage deduction reports, and profit & loss summaries provided through TaxCommand™ and other features are for informational and organizational purposes only. They do not constitute tax advice, legal advice, or financial advice.

You acknowledge and agree that:

  • All tax calculations, estimates, and reports are approximations and may not reflect your actual tax liability
  • The IRS standard mileage rate used in calculations may change annually; we update rates periodically but do not guarantee they reflect the most current rate
  • You are solely responsible for the accuracy of your tax filings and should consult a qualified tax professional (CPA, enrolled agent, or tax attorney) before making tax decisions
  • Expense categorizations (including AI-assisted categories) are suggestions and may not align with IRS guidelines for your specific tax situation
  • The CCRM LLC shall not be liable for any penalties, interest, or additional taxes resulting from reliance on information provided by the Service
  • Bank transaction data imported via Plaid may require manual review and recategorization for tax purposes

We strongly recommend that you work with a qualified tax professional to review your financial records and tax filings. The Service is designed to help you organize and track your business finances, not to replace professional tax advice.

20. Beta Features and Early Access

20.1 Beta Features

From time to time, we may offer beta, preview, or early access features ("Beta Features"). By using Beta Features, you acknowledge and agree that:

  • Beta Features are provided "as is" and may contain bugs, errors, or incomplete functionality
  • Beta Features may be modified, suspended, or discontinued at any time without notice
  • Data generated or stored through Beta Features may be lost or reset
  • Beta Features may not be covered by our standard support or SLA commitments
  • Your use of Beta Features may be subject to additional terms communicated at the time of enrollment

20.2 Feedback

If you provide feedback, suggestions, or ideas about Beta Features or any part of the Service ("Feedback"), you grant us a non-exclusive, worldwide, royalty-free, irrevocable, perpetual license to use, modify, and incorporate that Feedback into the Service without any obligation to you.

20.3 Limitation of Liability for Beta Features

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREATOR CRM SHALL HAVE NO LIABILITY FOR ANY DAMAGES ARISING FROM YOUR USE OF BETA FEATURES, INCLUDING BUT NOT LIMITED TO DATA LOSS, BUSINESS INTERRUPTION, OR INACCURATE OUTPUTS.
